7. Executive Committee


7.1 The Executive Committee consists of the officers, the immediate past Chairman and no fewer than four but no more than 18 other members.

7.2 No person shall be appointed a member of the Executive Committee or an officer at any General Meeting unless not less than seven and not more than 28 clear days before the date appointed for the meeting notice has been given to the members of the intention to propose that person for appointment and that person has confirmed his or her willingness to be appointed.

7.3 Any casual vacancy on the Executive Committee or of any office arising between Annual General Meetings may be filled by the Executive Committee.

7.4 All members of the Executive Committee shall retire at the Annual General Meeting but shall be eligible for re-election at that meeting.

7.5 Members of the Executive Committee may serve for three consecutive years. They may be eligible for re-election after a one year break. Alternatively they may continue as a co-opted member.

7.6 The quorum of the Executive Committee shall be 6.

7.7 The Executive Committee shall meet at least four times each year.

7.8 The Chief Executive shall be responsible for calling meetings, keeping records of proceedings and conducting correspondence and also receiving and making payments as directed by the Executive Committee on behalf of the Chamber.

7.9 Decisions at meetings of the Executive Committee shall be made by a simple majority and in the event of equality of voting, the Chairman (or the Acting Chairman at that meeting) shall have a casting vote.
